Pacific Oak Strategic Opportunity REIT, Inc., often referred to as "the Company," was incorporated in Maryland on October 8, 2008. It subsequently chose to be taxed as a Real Estate Investment Trust (REIT), a status effective from its taxable year concluding on December 31, 2010. The Company primarily conducts its business activities through Pacific Oak SOR (BVI) Holdings, Ltd., or "Pacific Oak SOR BVI." This entity, a private company limited by shares, operates under the British Virgin Islands Business Companies Act of 2004 and was established on December 18, 2015. It possesses the authority to issue a maximum of 50,000 common shares, all of which have no par value. Upon its incorporation, Pacific Oak SOR BVI issued 10,000 common shares, also without par value, to Pacific Oak Strategic Opportunity Limited Partnership, designated as "the Operating Partnership." The Operating Partnership is a Delaware limited partnership that predates Pacific Oak SOR BVI, having been formed on December 10, 2008. The Company serves as the sole general partner of the Operating Partnership, holding a 0.1% interest. The significant remaining 99.9% partnership interest in the Operating Partnership belongs to Pacific Oak Strategic Opportunity Holdings LLC, or "REIT Holdings." Formed on December 9, 2008, as a Delaware limited liability company, REIT Holdings also functions as the Operating Partnership's exclusive limited partner. Furthermore, the Company is the sole member and manager of REIT Holdings.
